PublizAI Terms of Service, AI Content Disclaimer, and Data Processing Terms

1. Acceptance of Terms

By accessing, downloading, installing, or using the Service, whether or not you become a registered user, you agree to these Terms and our Privacy Policy.

We may modify these Terms from time to time. If we make material changes, we will post the updated Terms on our website and update the Effective Date above. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms.

2. Description of Service

PublizAI is an AI-powered SaaS platform that may include features such as:

• AI-assisted content generation
• SEO and AEO content creation
• automated or scheduled publishing
• integrations with websites, CMS platforms, and third-party tools
• workflow automation
• content approvals and editorial tools
• analytics, reporting, and dashboard features
• team collaboration features
• consulting, onboarding, and implementation support

Certain features may be offered only on specific subscription plans or as paid add-ons.

3. Eligibility and Authority

You must be at least 18 years old to use the Service.

If you use the Service on behalf of a business, organization, or client, you represent and warrant that:

• you have authority to act on their behalf
• you have obtained all rights, permissions, and consents necessary for the data and content you submit
• your use of the Service complies with applicable laws, regulations, and contractual obligations

4. Your Account

You agree to provide accurate, complete, and current account information and to keep it updated.

You are responsible for:

• maintaining the confidentiality of your login credentials
• all activities occurring under your account
• ensuring that your team members and authorized users comply with these Terms

You must notify us promptly if you suspect unauthorized access or use of your account.

We may suspend or terminate accounts that contain false information, create security risks, violate these Terms, or are used for fraud, abuse, or unlawful activity.

5. Subscription Plans, Trials, Billing, and Renewal

5.1 Paid Plans

PublizAI may offer monthly, annual, trial, promotional, or custom subscription plans. Pricing, plan limits, credits, included features, and usage thresholds will be presented at the time of purchase or in your account.

5.2 Free Trials and Promotional Offers

We may offer free trials, discounted trials, or promotional pricing, including nominal trial charges. Unless otherwise stated at signup, trial subscriptions automatically convert into paid subscriptions at the end of the trial period unless cancelled before renewal.

We reserve the right to determine trial eligibility, restrict repeated trials, and modify or withdraw promotions at any time.

5.3 Auto-Renewal

Unless you cancel before the renewal date, your subscription will automatically renew for the same billing cycle and your payment method will be charged the then-current applicable fees.

5.4 Billing Authorization

You authorize us and our payment processors to charge the subscription fees, taxes, add-ons, overage fees, and any other applicable charges to your designated payment method.

5.5 Failed Payments

If payment is unsuccessful, we may retry the charge, suspend access, downgrade features, or terminate the subscription.

5.6 Taxes

Fees do not include taxes unless expressly stated otherwise. You are responsible for any applicable sales, use, VAT, GST, withholding, or similar taxes, except taxes based on our net income.

6. Cancellation and Refund Policy

You may cancel your subscription at any time through your account settings or by contacting support, unless your plan or order form provides otherwise.

Unless otherwise expressly stated:

• cancellations take effect at the end of the current billing period
• subscription fees already paid are non-refundable
• we do not provide refunds or credits for partial billing periods, unused time, unused credits, or downgrades during an active billing cycle

If PublizAI offers a trial, promotional refund window, or specific money-back guarantee, it will apply only under the exact terms stated in that offer.

Custom onboarding, consulting, implementation, migration, setup, and other professional services are non-refundable once work has commenced.

7. Acceptable Use

You agree not to use the Service to:

• violate any law or regulation
• infringe intellectual property, privacy, publicity, or other rights
• generate, publish, or distribute unlawful, defamatory, fraudulent, deceptive, harassing, hateful, or abusive content
• generate spam, misleading content, or malicious SEO content
• impersonate any person or entity
• distribute malware, viruses, or harmful code
• probe, scan, reverse engineer, scrape, or interfere with the Service or related systems
• bypass plan limits, rate limits, or security measures
• use the Service for unauthorized surveillance or unlawful profiling
• input data that you do not have the right to use

We may investigate violations and suspend or terminate access immediately.

8. User Content and Customer Data

8.1 Your Ownership

As between you and PublizAI, you retain ownership of your prompts, inputs, uploaded materials, websites, brand assets, and other data you submit to the Service ("Customer Data"), subject to the rights you grant us below.

8.2 License to PublizAI

You grant PublizAI a non-exclusive, worldwide, limited license to host, copy, process, transmit, display, modify for technical purposes, and otherwise use Customer Data only as necessary to:

• provide and maintain the Service
• perform publishing and integrations requested by you
• improve security and reliability
• comply with law
• enforce these Terms

8.3 Responsibility for Customer Data

You are solely responsible for Customer Data and for ensuring that it does not violate any law or third-party right.

You represent and warrant that you have all necessary rights, consents, and permissions to submit Customer Data and authorize PublizAI to process it.

9. AI Content Disclaimer Policy

9.1 AI-Generated Output Is Assistive, Not Guaranteed

PublizAI uses artificial intelligence and automation to generate drafts, suggestions, recommendations, summaries, metadata, and other outputs ("AI Output"). AI Output is probabilistic and may be inaccurate, incomplete, outdated, biased, duplicative, misaligned with your brand, or unsuitable for your intended use.

PublizAI does not guarantee that AI Output will:

• be accurate, complete, or error-free
• be original or non-infringing
• meet search engine guidelines or ranking expectations
• comply with legal, regulatory, or industry-specific standards
• be fit for publication without human review
• produce leads, traffic, rankings, conversions, or revenue

9.2 Human Review Required

You are solely responsible for reviewing, editing, approving, and verifying all AI Output before publication, distribution, or reliance. This includes checking for:

• factual accuracy
• legal compliance
• plagiarism or similarity concerns
• brand alignment
• offensive or inappropriate wording
• SEO, ad, disclosure, consumer protection, and industry compliance

9.3 No Professional Advice

The Service and AI Output are for informational and operational purposes only and do not constitute legal, tax, accounting, medical, financial, compliance, or other professional advice. You should consult a qualified professional where appropriate.

9.4 Publishing Responsibility

If you use PublizAI to auto-publish or schedule publication to your website, CMS, or third-party platform, you accept full responsibility for the published content and its consequences, including claims, takedowns, ranking impacts, customer disputes, regulatory issues, and third-party platform penalties.

9.5 Training and Improvement

To the extent permitted by law and subject to our Privacy Policy, PublizAI may use service interactions, prompts, output patterns, usage signals, and performance data to maintain, secure, and improve the Service. We will not intentionally disclose your confidential content publicly except as authorized by you or required by law.

10. Integrations and Third-Party Services

The Service may connect with third-party services such as CMS platforms, analytics platforms, advertising tools, payment processors, email providers, social platforms, and APIs.

Your use of third-party services is governed by their own terms and privacy policies. PublizAI is not responsible for third-party systems, outages, policy changes, acts, omissions, data handling practices, charges, or security incidents.

You are responsible for maintaining valid credentials and permissions for any connected third-party services.

11. Intellectual Property

The Service, including its software, interface, workflows, design, branding, text, graphics, code, features, models, compilations, and related materials, is owned by PublizAI or its licensors and is protected by intellectual property laws.

Except for the limited rights expressly granted to you, no rights are transferred to you. You may not:

• copy, reproduce, republish, sell, sublicense, or exploit the Service
• reverse engineer or derive source code except where prohibited by law from restricting such rights
• remove notices of ownership
• use our trademarks without prior written consent

We may improve, change, suspend, or discontinue any part of the Service at any time.

The receiving party agrees to:

• not disclose it except to personnel, contractors, and advisors who need to know and are bound by confidentiality obligations

Confidential information does not include information that is public through no fault of the receiving party, already known without restriction, independently developed, or lawfully received from a third party.

This section applies where PublizAI processes personal data on your behalf that is subject to the GDPR, UK GDPR, or similar laws. For such processing, this section serves as the parties' data processing terms.

14.1 Roles of the Parties

Where you upload, submit, or otherwise make available personal data to PublizAI for processing through the Service on behalf of your business, you are the Controller or Processor, as applicable, and PublizAI acts as your Processor or Sub-processor, as applicable, solely for the purpose of providing the Service.

The subject matter of the processing is the provision of the Service. Processing will continue for the duration of your use of the Service and any limited post-termination retention period required for legal, security, backup, or dispute resolution purposes.

14.3 Nature and Purpose of Processing

Processing may include collection, storage, organization, retrieval, transmission, publication, deletion, analysis, generation, and other operations necessary to provide the Service, including:

• account management
• content generation
• content scheduling and publishing
• analytics and performance tracking
• support and troubleshooting
• security monitoring
• integrations requested by you

14.4 Categories of Data Subjects and Personal Data

Depending on how you use the Service, processed data may include personal data relating to your employees, contractors, customers, leads, website visitors, subscribers, or other individuals, and may include names, email addresses, IP addresses, account data, website activity, content inputs, or other personal data submitted by you.

PublizAI will process personal data only on documented instructions from you, including as reflected in your use of the Service and these Terms, unless required to do otherwise by applicable law.

PublizAI will ensure that persons authorized to process personal data are subject to appropriate confidentiality obligations.

Taking into account the nature of the processing, PublizAI will provide reasonable assistance to help you respond to requests from data subjects where legally required, provided that you remain responsible for handling such requests and any associated legal analysis.

14.10 Assistance with Compliance

Taking into account the nature of processing and the information available to us, PublizAI will provide reasonable assistance with your obligations relating to security, breach notifications, impact assessments, and consultations with regulators where required by law and relevant to the Service.

14.11 International Transfers

You authorize PublizAI and its sub-processors to process personal data in countries where PublizAI or its providers operate. Where legally required, such transfers will be made using an approved lawful transfer mechanism.

Upon termination of the Service and upon written request, PublizAI will delete or return personal data to the extent reasonably practicable, except where retention is required by law or reasonably necessary for security, backup, fraud prevention, enforcement, or dispute resolution.

We do not guarantee that the Service will be uninterrupted, error-free, or available at all times.

We may modify, suspend, or discontinue any part of the Service, including features, limits, integrations, or pricing, at any time. We may also offer beta, preview, or experimental features. Such features may be changed or discontinued at any time and may be provided with fewer safeguards or support.

Any support, onboarding, or implementation assistance provided by PublizAI is subject to the support level, response times, and communication channels applicable to your plan or custom agreement.

We do not guarantee resolution within any particular timeframe unless expressly agreed in writing.

17. Community, Feedback Areas, and User Conduct

If PublizAI offers communities, comment areas, wishlists, help centers, public roadmaps, or feedback boards, you agree to use them respectfully.

You may not post content that is unlawful, harassing, abusive, defamatory, confidential without authorization, or intended to solicit customers in a misleading or spam-like way.

We may remove content, suspend access, or close community features at our discretion.

18. Termination

You may stop using the Service at any time.

We may suspend or terminate your access immediately, with or without notice, if:

• you violate these Terms
• payment is overdue
• your use creates security, legal, or reputational risk
• we suspect fraud, abuse, or unlawful conduct
• required by law or third-party provider restrictions

Upon termination, your right to use the Service ceases immediately, but provisions that by their nature should survive will survive, including payment obligations, disclaimers, limitations of liability, indemnity, confidentiality, and data protection responsibilities.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PublizAI is organized, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction, unless otherwise required by applicable law.

23. Miscellaneous

These Terms constitute the entire agreement between you and PublizAI regarding the Service, except for any separate written order form or enterprise agreement.

If any provision is held unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision is not a waiver.

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.
